TERMS AND CONDITIONS OF USE - SKEELO
INTRODUCTION
Skeelo is a Platform owned by and under the responsibility of Skeelo Editora, Produtos e Serviços Digitais Ltda, headquartered in Brazil and registered under CNPJ 16.881.623/0001-50 (“Skeelo”).
Skeelo ("Platform") is a means for interested parties to gain guaranteed, continuous access to the digital versions of several literary works.
Through these General Terms and Conditions of Use ("Terms"), Skeelo presents to its general users the essential conditions to use the services provided by the Platform.
BY CLICKING “I ACCEPT”, YOU AGREE TO THE FOLLOWING TERMS AND CONDITIONS. THE PROVISIONS HERE REGULATE THE USE OF THE PLATFORM, THEREFORE, READ THEM CAREFULLY!
By accepting these terms you confirm that you understand and agree to abide by them, and that you are the only responsible for understanding and complying with all laws, rules, regulations and requirements of the jurisdiction where you reside, which may be applicable to your use of the platform.
Save or print a copy of these terms for your control. If you do not understand some provision in these terms, please contact us before using the platform.
You should not access or use the platform unless you agree to comply with all terms and conditions provided in these terms.
REGISTRATION
Provided the users follow certain requirements, they can, through the platform, have guaranteed and continuous access to the following digital works:
- literary works, which may be purchased or made available monthly ("eBooks"); and/or
- literary works in audio form (not including complementary content) ("audiobooks").
- Digital works: For the purposes of these terms, "digital works" refers to eBooks and audiobooks, together or separately.
- Interested parties can register in the platform through our website or our application. Once registered, they will be able to access they digital works they have access to in the application, which is available for Android devices (from version 8.0) and IOS (from version 15.0).
- For the purpose of using the platform, users must create an account on the Skeelo platform, informing, for the purpose of registration and benefit verification, their personal data (name, national identification number of their country, e-mail, phone number).
- Users whose registration is associated with a Skeelo partner will only have their access approved if they are up to date with their obligations to said partner.
- For registration purposes and contracting models, users will be classified according to digital works, contracting models, and plans. This classification is as follows:
- CLIENTS: associated through contracts from the plans of partner companies, as listed in the table below. Different plans, contracted with different partners, give access to different types of digital works.

- Depending on the plan the client has with the partner, the user will have guaranteed access, with no additional cost to the services contracted, to the relevant Skeelo Digital Works Use Plan, according to the table below.
- The clients, depending on the plan, will have access to 01 (one) eBook and 01 (one) audiobook per month, selected among the options made available by Skeelo to the relevant use plan.
- The way in which digital works available can be chosen/exchanged is determined in items 6.9 and posterior in these terms.
- The plans contracted with each of the partners listed in the table above, that provide access to the benefits mentioned are:

INDEPENDENT CLIENTS
Contracting Plans
- Independent cients can benefit from using Skeelo and gain access to digital works by contracting a use plan directly with Skeelo.
- To contract a use plan, the independent client must access the application that corresponds to the operating system of their device, that is, the "Apple App Store" or the "Google Play Store", respectively, for IOS devices (from version 15.0) and Android devices (from the version 8.0). They can sign up to a monthly subscription through the application store itself, respecting the conditions available at time of contracting.
- The user will be subject to payment conditions and other specific conditions applicable to every application made available by Skeelo in the "Apple App Store" or the "Google Play Store", as well as to the Terms of Use and Privacy Policies of these stores.
- The following are the contracting plans currently available for contracting:

- Clients, depending on the plan contracted, will have access to 01 (one) eBook and 01 (one) audiobook per month, chosen among the options made available by Skeelo.
INDIVIDUAL CLIENTS - PARTNERS
- Another individual contracting alternative available for users who contracted one of the partnerships listed, but whose contracting plan is not listed in item 3, above, is the contracting of the use plan through the partner itself.
- This individual contract with the partner may be charged separately in the billing sent by the Partner, or the credit may be discounted in the case of reuse of prepaid plans.
- These plans are contracted directly with the relevant partner, following terms and conditions specific to each partner, which can be verified in the links below:

DIGITAL WORKS CONTENT
- Digital Works will be made available monthly for all users (clients and/or independent clients), according to the use plan associated to their account.
- The digital works offered monthly can vary, depending on the use plan chosen by another client and/or the independent client, both for the purposes of the "Main Path” and for the purposes of exchanging digital works.
- The "Main Path" is here understood as the standard schedule of the monthly delivery of the eBooks to all users, which will vary depending on the user plan contracted and accessible.
- The digital works will be made available as the conclusion of specific contracts between Skeelo and the publishers of the digital works and their respective distributors, with no guarantee regarding which specific titles will be made available.
- The digital works that will be made available monthly by Skeelo in the platform are organized and ordered previously. Thus, a user can take advantage of the early announcement of a specific digital work that will be made available, so they can exchange it with another work from the same group of options.
- A digital work can be replaced up to 24 hours before the date when it would be effectively made available for download.
- With regard to the 1st eBook or audiobook, clients (those with contracts associated with a partner, as provided by item 3) will have up to 7 days, starting with the day their plan started, to confirm whether they will keep the digital work presented or choose another of the same type.
- The entrance in the plan is considered to be the date in which the client was inserted into the database by the partners, not their date of registration.
- Once the digital work is made available for users in a certain month, they will have to download the digital works available. After that, they will have unrestricted access to their content, even if the respective user (clients and independent clients that contract plans with the partner) become no longer contracted to the partner associated to their accounts, for whatever reason.
- Users are identified by the use of an official registration number accepted in their countries or an official company registration number accepted registration used their countries, in such a way that, regardless of the number of active contracts they may have with partner companies, they will have access to a single digital work a month, that is, if the user has several different contracts with partner companies, they will be able to receive only one copy. Therefore, as determined by partner companies, they will receive one copy of the same digital work monthly, for the related month. They can, however, transfer the copies in the terms of item 6.9, below.
USE OF THE DIGITAL WORKS
- The digital works will be made available and used only for personal and domestic purposes, and cannot, for example, be transmitted in any form via streaming or shared by any means.
- Skeelo guarantees its users the exclusive right to visualize and use the digital works with no restriction, at any time, after downloading them, including their offline use, but only for personal and non-commercial use.
- Unless otherwise specified, no user can, in any way, change, rent, lease, lend, sell, distribute, sublicense, transfer, or create rights and/or derivative works or works based on Skeelo and/or digital works, nor can they remove or change any covers or pages that belong to digital works, in any way that is not already provided for in this term.
- Furthermore, they cannot attempt to deceive, modify, override, or otherwise circumvent any digital systems for the management of rights, any other form of content protection, or, still, any resource adopted as part of Skeelo.
TRANSFER OF DIGITAL WORKS
- Users can exercise the right of transferring the digital works acquired through Skeelo to other registered users.
- If the user who will receive the transfer of a certain digital work is not registered in Skeelo, they will be considered ineligible to receive the rights of the work, and the work will remain with the original holder of these rights.
- Users who own the initial rights of a digital work can request a transfer of rights only for works they have effectively acquired, that is, those already delivered by Skeelo.
- Therefore, are not eligible for transfer any works whose exchange period is still active or those who are yet to be acquired, always considering the hypotheses of the cancellation of Skeelo.
- Works acquired can be transferred regardless of whether they were downloaded, and whether the user started or finished reading them.
- As the transfer of rights takes place, the work will be definitely removed from the digital library of the original holder of its rights and will become part of the digital library of the recipient, who will become the new holder of the rights of said work.
- The transfer of ownership of the work is final, and the original holder of these rights cannot, by any means, reclaim the work.
- A work's rights can only be transferred once. Therefore, the new owner of the rights, the recipient of the transfer, will not be able to transfer the book further to any other parties.
- Transfers must be requested exclusively through the email [email protected], by correctly filling and sending the Model for the Transfer of Work Rights (available from https://bit.ly/311SewN). The deadline for the transfer to take place is five business days after the request is received, as long as all requirements are followed and the model for the Transfer of Work Rights is adequately filled in.
- Skeelo is not responsible for mistaken transfers conducted due to incorrect information provided by the user.
USE OF THE PLATFORM
- Access to the Platform is conditioned to the use of the necessary equipment and software for access to the platform, and, as a result, to the digital works, including, among others, mobile phones/tablets that can support the Android operating system, from version 8.0, and IOS, from version 15.0.
- Users must also verify whether the other settings of their phones are compatible with the platform.
- Users are the sole responsible parties for checking whether their devices are compatible.
- Since the digital works must be downloaded, users must, in order to have access to the platform and use it, have an Internet connection, which will depend on the Internet connection coverage (Wi-Fi, GPRS, EDGE, 3G, 4G or similar) in the location where the users are.
- Internet access and data usage can be subject to charges that are in no way related to Skeelo nor a responsibility of Skeelo.
- As long as the download of digital works is carried out earlier, the download content will be accessible through the platform by the users at any time, without the need of using the Internet, that is, using an offline mode.
- If Skeelo is contracted using devices that are not compatible with the necessary technology for its use, independent clients are aware and agree that the costs of the use plan contracted will remain the same, as applicable, and must be payed. Skeelo or any of its partner companies will not reimburse any values in no hypotheses, and payment will be due until the canceling of the use pan contracted is requested and effected.
LIABILITY DISCLAIMER
- The use of the platform by minors is not authorized. In the event of a minor gaining access to the platform and/or to the content therein, the user will be the sole responsible, in the role of guardian of the minor, and Skeelo is in no way responsible for the improper use of the content available, or for the access of the minor to a device that provides access to the platform.
- Skeelo is not responsible for the inability, on the part of the users, to connect to the Internet or to use adequate hardware and software (cellphones, tablets, computers, or any other compatible devices).
- Furthermore, the user hereby declares and recognizes there are no guarantees that any undeclared and personal user expectations will be satisfied regarding the use of the platform and the contents available therein or contracted, as the case may be. The user also declares and recognizes there are no guarantees that the content made available in the platform will attend to any personal objectives of the user other than the access to the digital works.
- Skeelo is not responsible for any interruptions in the platform, and cannot be held accountable for any failures or interruptions that are not under its technical control, such as issues in the IP or mobile networks, nor is Skeelo responsible for the time needed, in these cases, to attend to the demands of Users.
- Consequently, Skeelo does not guarantee constant or error-free access to the platform, as it might be interrupted by viruses, hacker attacks, script errors, file corruption, piracy, breaches of security, incompatible programs, or any other events that may prevent the correct reading or listening to the digital works available, and as such, Skeelo is not liable to users due to direct or indirect damage caused by the access or impossibility of access.
- Skeelo may interrupt access to the platform in order to carry out repairs, corrections of systems, maintenance, and/or improvements, when appropriate.
- Users expressly agree and are aware that Skeelo shall have no liability to users, whether contractual or non-contractual, for any property or moral damages, including, without limitation, damages for lost profits, lost commercial funds, lost information, or any other intangible losses resulting from:
-The inadequate use of the platform;
-The sharing of platform data in social networks by anyone other than Skeelo;
-The guidance or conducts of third parties regarding the platform; and
- For force majeure, unforeseeable circumstances, and acts carried out by the Users themselves.
- Skeelo is not responsible, under any circumstances, for the return of any amounts charged, resulting from:
- -The incompatibility of the hardware and software employed by the users, considering the requirements to execute the platform in the form of the applications, as listed here;
- -In case user equipment is unable to attend to the minimum computational requirements to show and reproduce content and execute the Platform.
CANCELLING THE SKEELO CONTRACT
- Clients that are no longer part of a plan with partners that are eligible to the benefits of the plan will stop receiving new digital works. However, they will continue to be able to access their account and visualize any digital works made available to them before their plan was closed. Similarly, if the agreement between the partner and Skeelo to make digital works available to their clients is no longer in force, users will be informed by Skeelo ahead of time about the moment when the service will be discontinued. It is guaranteed, regardless of the interruption of the provision of new digital works due to the end of a relationship with a partner, that users will continue to be able to access their accounts and visualize all digital works that were available to them up to the cancellation of the agreement with this partner.
- Independent clients can cancel their use plans in the application store ("Apple App Store" or "Google Play Store"), following the specific procedure for each store, or, together with the partner, in case the contract was made through them, following the specific procedure adopted to the relevant partner.
- After canceling a use plan and its associated charges, independent clients will continue having access to the platform, and, consequently, to all digital works made available to them up to the time of the cancellation.
- By canceling the contract with the platform, users do not incur any fines or additional costs.
- In case of lack of credits (exclusive for prepaid phone users) or blocked accounts, the weekly delivery of digital works will be suspended until the situation is adequately normalized.
- Similarly, use plans contracted by interested third parties will be suspended in case of default, and, therefore, so will be the delivery of new digital works, until they resolve any irregularities found (such as payments with expired credit cards, and other similar situations).
- Finally, Skeelo reserves the right to interrupt the Skeelo application at any time, upon a prior notice of at least 30 days given to Users, for any reason and without any indemnity, payment, or refund for whatever reason.
- Skeelo is responsible for the continuity of the access to the digital works already made available to the users or to provide viable alternatives for the users to access the digital works already acquired.
- Skeelo, finally, reserves the right to cancel accounts and even to remove access to content from users who do not comply with any of the provisions in these terms.
INTELLECTUAL PROPERTY
- All content made available in the platform is protected by applicable intellectual property laws and other laws, including, without limitation, the Civil Code and Copyright Law.
- By accessing the platform, users declare they will respect all intellectual and industrial property rights, as well as those from the protection of trademarks, whether related to Skeelo itself and, specifically, with digital works, in addition to all copyright of third parties that may be, or may have been, in any way related to Skeelo, or, more specifically, with the digital works.
- Users do not have any right to use the names, titles, words, sentences, brands, patents, literary works, artistic works, or others, which are contained or available in the platform, on the website, and, especially, in the digital works available.
- Users will not use the digital works available any other way and for no other goal then those authorized by this term.
- The reproduction of any parts or any content present in any digital works, in any form or mean, except when clearly stated by the current instrument, including, but not limited to, cases of misappropriation or network capacity overload, for the purpose of making it available on the platform.
- The use of the platform and/or of the digital works periodically made available in violation of these terms is strictly forbidden and violates intellectual property rights of third parties. Users who infringe upon these terms are subject to the payment of compensation for violating copyright, in addition to any other applicable penalties.
- Users are fully liable, in civil or criminal courts, for the misuse of information, texts, graphs, brands, works, and any other intellectual or industrial property rights related to
- Skeelo, the platform, and/or the digital works.
GENERAL PROVISIONS
- This term can be altered at any time at the exclusive discretion of Skeelo, especially, but not only, when other mobile providers start to offer the platform and the digital works, and for the purpose of adapting the platform to applicable legislation.
- Amounts due, due to the contracting of use plans can be altered or revised/readjusted at any time, as long as the procedures in force regarding the change of rates for the services are respected.
- The omission or tolerance of Skeelo in demanding strict compliance with the terms and conditions of these terms is considered a mere liberality, and shall in no way constitute novation or renunciation, nor shall it affect their rights, which may be exercised at any time.
- In the event that any clause, term or provision in these terms is declared null or unenforceable, such nullity or unenforceability shall not affect any other provisions in these terms, which shall remain in full force and effect.

- This agreement shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil.
